1. THE APPLICATION

SmartToDoAi is an AI-powered smart task management application designed to help users create, organise, and manage tasks efficiently. Features include:

• Voice-based task creation using AI-powered speech-to-text transcription (via OpenAI)
• AI-generated task suggestions with automatic titles, descriptions, subtasks, categories, and scheduling
• Smart subtask matching from existing category libraries
• Task scheduling with push notification reminders
• Calendar view for task organisation
• Category-based task management with reusable subtask libraries
• Home screen widgets (iOS and Android) for quick task overview
• iOS Live Activities for active task tracking
• Premium subscription tier with enhanced features
• Personalised and non-personalised advertising

The Application is not tailored to comply with industry-specific regulations (e.g., HIPAA, FISMA), so if your interactions are subject to such laws, you may not use this Application. You may not use the Application in a way that violates the Gramm-Leach-Bliley Act (GLBA).

2. SCOPE OF LICENSE

You are granted a non-transferable, non-exclusive, non-sublicensable license to install and use the Licensed Application on any Apple-branded or Google-branded products that you (End-User) own or control, as permitted by the Usage Rules set forth in this section and in the Apple App Store Terms of Service or Google Play Store Terms of Service.

This license also governs any updates of the Application, unless a separate license is provided for such updates.

• You may not share, sell, rent, lend, or redistribute the Application without Markconapps's prior written consent.
• You may not reverse-engineer, disassemble, or attempt to derive the source code of the Application, unless Markconapps's prior written consent is provided.
• You may create and store copies of the Application on devices you own for backup purposes, but no unauthorized third parties may access these copies.
• Violations of the above obligations may result in prosecution and damages.
• Licensor reserves the right to modify the terms and conditions of licensing.
• You must comply with applicable third-party terms when using the Application.

3. TECHNICAL REQUIREMENTS

The Application requires a compatible iOS or Android device with a current operating system version. The Licensor recommends using the latest version of the operating system for optimal performance and security. It is your responsibility to ensure your device meets the technical specifications needed for the app.

Certain features of the Application require an active internet connection for functionality, including:

• Voice recording transcription and AI task generation
• Cloud-based task synchronisation
• Push notification delivery
• Subscription management
• Ad serving

4. MAINTENANCE AND SUPPORT

The Licensor is solely responsible for providing maintenance and support services for the licensed Application. Markconapps and the End-User acknowledge that Apple and Google have no obligation to furnish any maintenance or support for the Application.

5. USE OF DATA

The Licensor may access and adjust your downloaded licensed Application content and your personal information, subject to the terms of the Privacy Policy available here.

SmartToDoAi does not require account creation and does not collect personal identity information such as your name, email address, or password. Users are identified anonymously using device-generated tokens. For full details on data collection and processing, please refer to the Privacy Policy.

6. USER-GENERATED CONTRIBUTIONS

The Application allows users to create and submit content such as tasks, subtasks, voice recordings for transcription, and task-related text. Any user-generated content will be treated in accordance with the Privacy Policy, and users must ensure their content does not violate intellectual property or applicable laws.

You acknowledge that:

• Task content you create is stored in our cloud database and is associated with your anonymous device identifier.
• Voice recordings are processed through AI services for transcription and are deleted immediately after processing.
• AI-generated task suggestions are provided as recommendations and you are responsible for reviewing and accepting them before they are saved.
• You are solely responsible for the content of your tasks and any decisions made based on AI-generated suggestions.

7. CONTRIBUTION LICENSE

By submitting suggestions or feedback, you agree that we can use and share them without compensation to you. You retain ownership of your content, but you are responsible for its legality, and Markconapps is exonerated from responsibility for your content.

8. LIABILITY

• The Licensor's responsibility in the case of violation of obligations shall be limited to intent and gross negligence.
• Markconapps is not responsible for any damages due to a breach of duties according to Section 2 of this Agreement.
• Markconapps is not responsible for the accuracy, completeness, or reliability of any AI-generated content, including but not limited to task suggestions, subtask recommendations, scheduling suggestions, or speech-to-text transcriptions. AI-generated content is provided "as is" and users should review and verify all AI-generated suggestions before acting upon them.
• Markconapps is not responsible for any loss of data resulting from device failure, network issues, or service interruptions beyond our reasonable control.

9. LEGAL COMPLIANCE

You represent and warrant that you are not located in a country subject to a U.S. Government embargo or listed on any U.S. Government prohibited or restricted party lists.

11. THIRD-PARTY TERMS OF AGREEMENTS AND BENEFICIARY

Apple and Apple's subsidiaries are third-party beneficiaries of this License Agreement. Upon acceptance of the terms, Apple will have the right to enforce this License Agreement against you as a third-party beneficiary.

Google and Google's subsidiaries are third-party beneficiaries of this License Agreement. Upon acceptance of the terms, Google will have the right to enforce this License Agreement against you as a third-party beneficiary.

12. INTELLECTUAL PROPERTY RIGHTS

In the event of any third-party claim that the Application infringes intellectual property rights, Markconapps will be solely responsible for addressing the claim.

All intellectual property rights in the Application, including but not limited to design, code, graphics, user interface, and AI-generated outputs, remain the property of Markconapps unless otherwise stated.

13. APPLICABLE LAW

This License Agreement is governed by the laws of Bahrain, excluding its conflict of law rules.

14. SUBSCRIPTION TERMS

SmartToDoAi offers a premium subscription tier that provides access to enhanced features. The following terms apply to subscriptions:

• Payment: All subscription payments are processed through the Apple App Store (iOS) or Google Play Store (Android). Markconapps does not directly collect or store any payment information.
• Auto-Renewal: Subscriptions automatically renew at the end of each subscription period unless cancelled at least 24 hours before the end of the current period.
• Cancellation: You may cancel your subscription at any time through your Apple App Store or Google Play Store account settings. Cancellation will take effect at the end of the current billing period.
• Refunds: Refund requests are handled by Apple or Google according to their respective refund policies. Markconapps does not process refunds directly.
• Restore Purchases: If you reinstall the app or switch devices, you can restore your existing subscription using the restore purchases feature within the application.
• Price Changes: Subscription prices may change. You will be notified of any price changes and your continued use of the subscription constitutes acceptance of the new pricing.
• Free Features: Certain features of the Application are available at no charge. Markconapps reserves the right to modify which features are available in the free tier.

15. AI-GENERATED CONTENT DISCLAIMER

SmartToDoAi uses artificial intelligence technologies, including OpenAI's services, to provide features such as speech-to-text transcription, automated task generation, subtask suggestions, and smart scheduling recommendations. By using these features, you acknowledge and agree to the following:

• No Guarantee of Accuracy: AI-generated content, including task titles, descriptions, subtasks, categories, priorities, and scheduling suggestions, is provided on an "as is" basis. Markconapps does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content.
• User Responsibility: You are solely responsible for reviewing, editing, and accepting AI-generated task suggestions before they are saved to your task list. You should not rely solely on AI-generated content for critical decisions or time-sensitive activities.
• Speech-to-Text: Voice recordings are transcribed using AI services. Transcription accuracy may vary depending on audio quality, language, accent, background noise, and other factors. You are responsible for verifying the accuracy of transcriptions.
• No Professional Advice: AI-generated task suggestions do not constitute professional, medical, legal, financial, or any other form of expert advice. The Application is a productivity tool and should be used accordingly.
• Data Processing: Voice recordings are sent to our backend server for processing through OpenAI's services. The recordings are deleted immediately after transcription. For full details, refer to the Privacy Policy.
• Third-Party Terms: By using AI-powered features, you agree to comply with the terms and policies of the underlying AI service providers, including OpenAI's usage policies.
